Charleymax provides B2B advisory services including staff training modules on formal table service etiquette, botanical tea pairing profile curation, and architectural consulting for wine cellar design with precise climate metrics. All engagements are governed by a written service agreement that defines deliverables, timelines, and fees. No verbal modifications are binding.
The client agrees to provide timely access to facilities, staff, and relevant documentation necessary for the performance of services. The client must ensure that all information shared with Charleymax is accurate and complete. Failure to meet these obligations may result in delays or termination of the engagement.
All training materials, pairing profiles, architectural plans, and methodologies developed by Charleymax remain the intellectual property of Charleymax unless otherwise agreed in writing. The client receives a non-exclusive, non-transferable license to use the deliverables for internal operations only.
Charleymax shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, business interruption, or damage to reputation. Our total liability for any claim is limited to the fees paid for the specific service giving rise to the claim.
Either party may terminate an engagement with 30 days written notice. In the event of a material breach by either party, the non-breaching party may terminate immediately. Upon termination, the client must return all proprietary materials and cease using any Charleymax intellectual property.
Charleymax reserves the right to update these terms at any time. Clients will be notified of material changes via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
These terms are governed by the laws of the jurisdiction in which Charleymax operates. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
